LLP Incorporation

Guernsey limited liability partnerships (LLPs) can only be incorporated by a Corporate Service Provider (CSP) who holds a full fiduciary licence from the Guernsey Financial Services Commission.

All LLPs must have at least two members. LLP members can be a body corporate or a natural person. Generally, all LLPs must have a resident agent who is either a Guernsey resident individual member of the LLP or a CSP. There are some limited exemptions, for example if the LLP is a closed or open-ended investment scheme within the meaning of the Protection of Investors (Bailiwick of Guernsey) Law, 1987.
LLP incorporation submissions can be made via the Online Services Portal including uploading the Particulars of Governance template available below. Payment of the incorporation fee can be made by Registry credit account or credit/debit card.
All LLPs must also submit beneficial ownership information on incorporation via the Online Services Portal. Further guidance on beneficial ownership requirements is available here: Beneficial Ownership Guidance.

Please note: All LLP members/resident agents must be registered with the Guernsey Registry before submitting the incorporation form. This is the same process as registering a director for a company, and if an individual is already registered with the Registry as a director, there is no need to register again.
