Change of Particulars

Guernsey limited liability partnerships (LLPs) must notify the Registry if there is a change to any of the particulars stated in section 8 (3) of the Limited Liability Partnerships (Guernsey) Law, 2013. These particulars are:
- Name of the LLP
- Name and address of the resident agent (if any)
- Nature of business
- Principal place of business
- Registered office in Guernsey
Notice of a change to any of these particulars must be sent to the Registry within 21 days of the change occurring.
Changes can be submitted by completing one of the below forms and returning it to the Registry by post or email to email@example.com. The filing fee can be paid by cheque, credit/debit card or Registry credit account.
|Change of name - LLP [395kb]||A change of name does not become effective until the Registrar has issued a new certificate of registration. Changes of LLP name are published for three months on the Registry website; if an objection to the new name is received during this time, the LLP will be required to revert to its previous name.|
|Change of registered office - LLP [300kb]||If the principal place of business is also changing, a 'Change of principal place of business - LLP' form must also be submitted.|

Change of LLP members
If the members of a LLP (or any change in the members' particulars) change, notice of the change must be sent to the Registry within 14 days of the change occurring.
Changes can be submitted by completing the below form and returning it to the Registry by post or email to firstname.lastname@example.org. The filing fee can be paid by cheque, credit/debit card or Registry credit account.
